Public offer (agreement) with users of the website SUPERDIL
This agreement is addressed to legally capable persons who are registered on the Internet on the website http://superdeal.ua (hereinafter - the "Site"), or named "Users", and is an official and public offer SUPERDIL (hereinafter - "Agent", "SUPERDIL "), Which can act on its own behalf and / or on behalf and at the expense of the person specified in the Appendices to this Agreement (hereinafter referred to as the" Seller "), to conclude an Agreement and / or Agreements, the subject matter and conditions of which are specified in the Appendices to such Agreements about the following:
1. Terms and definitions:
Public Offer - an offer to purchase the Seller's Goods and / or Information Services, which is published on the Site, is addressed to an indefinite circle of persons, including Users;
Promotion is an event carried out by the Seller aimed at selling the Seller's Goods to Users on Special Conditions specified in the Public Offer. Special conditions for each specific Promotion are published on the website and are an integral part of the Public Offer (Appendix);
Information service - the SUPERDIL service about the Seller's Promotions, as well as the SUPERDIL service, which consists in granting the User the right to participate in such a Promo a limited number of times. The limitation in the number of times is indicated in the Appendix, and if such a limitation is not specified, then it is considered that the Information service is provided for a one-time participation in the Promotion;
Certificate - a document that contains a unique alphanumeric code that allows to unambiguously identify Users, confirms the receipt by the User of the Information Service and provides such User with the right to claim the Goods from the Seller under the Special Conditions specified in the Promotion during the validity period of the Certificate. The Goods, Special conditions in relation to such Goods, as well as other essential conditions for the transfer of the Goods to the User, for which the Certificate gives the right to claim, are published on the website and are an integral part of the Public Offer (Appendix);
Coupon - a document that contains a unique alphanumeric code that allows to uniquely identify Users, and which confirms the receipt by the User of the Information Service;
Promotion Period - the period of time during which the Seller provides the Users with the opportunity to order / purchase / receive the Goods from the Seller on Special Conditions;
Special conditions - the conditions of the Seller's agreement that differ from the standard conditions for the sale of the Goods by one or several essential conditions, such as price, term, etc. A specific list of Special Conditions is indicated in the Appendix;
The validity period of the Certificate is the period of time during which the User has the right to contact the Seller to transfer the Goods to him on the terms of the Public Offer and its Appendices. The validity period of the Certificate is indicated on the Site;
Coupon validity - information about the period of time during which the Seller's Promotion is valid;
Goods - negotiable goods, work and / or service, or any combination thereof, which are provided by the Seller.
2. Registration on the Agent's website on the Internet: http://superdeal.ua and making the payment provided for in clause 9 of the Agreement is considered a full and unconditional consent to conclude an Agreement (hereinafter - "Acceptance").
3. Acceptance means that the User agrees with all the provisions of this Public Offer and its Annexes, which is tantamount to the conclusion of the Agreement and its Annexes.
4. The subject matter, conditions and validity period of the Agreement are established in the corresponding Appendix to it (conditions of the Promotion).
5. Appendices to the Agreement are its integral part. All terms contained in the Appendices to the Agreement constitute the terms of the Agreement.
6. The Appendix to the Agreement is placed in the section "Promotional Conditions" on the Agent's website, which contains the subject, terms and conditions of the agreement with the Seller and / or with SUPERDIL.
7. The Agent's powers in relation to the Goods are limited to the posting on the Site of the subject and terms of the Agreement on behalf of and at the expense of the Seller, as well as the execution of the agreement by crediting the Users' funds and providing the Users with the Certificate in the manner provided for in clause 11 of the Agreement. The rights and obligations under the Agreement arise directly from the User and the Seller. The Agent is not responsible for the fulfillment of the Agreement by the Seller.
8. The Agent's powers in relation to the Promotion are limited to the provision of the Information service to the Users, as well as the provision of the Coupon to the Users in the manner prescribed by clause 11 of the Agreement.
9. In accordance with this Agreement, the User also agrees to receive from SUPERDIL Information Services regarding the Promotions and / or Special Conditions of the Seller. The user accepts and agrees that payment for such information services SUPERDIL is included in the cost of the Certificate.
10. The User transfers the amount specified in the relevant Appendix to the Agreement to the Agent's account in the manner indicated on the Site. The transfer of the sum is carried out by bank transfer.
All expenses related to the payment of the amount specified in clause 10 of the Agreement shall be borne by the User.
11. Proof of the conclusion of the Agreement by the User is the presentation of a unique code to the Seller, which is assigned to the User after registering on the Site and / or purchasing a Coupon / Certificate, and / or presenting a Coupon / Certificate to the Seller. Any other evidence of the conclusion of the Agreement with the Seller and / or SUPERDIL is not allowed.
12. The procedure for the exchange of information between the Seller and the User is determined and communicated to the Users on the Site.
13. The User provides his consent to the use and processing of the User's personal data in accordance with the current legislation of Ukraine. These conditions (hereinafter referred to as the Conditions) for handling personal data of users of the Site are drawn up in accordance with the current legislation of Ukraine and govern the relationship between the Agent and the User.
13.1. Each person who registers on the Agent's Site and provides the Agent with personal information by filling in the appropriate fields on the Site confirms his familiarization with these Terms and gives his consent to the processing of personal data in the manner prescribed in this Public Offer.
13.2. By accepting these Terms, the User agrees to the use of his personal data by the Agent when placing an order, as well as for sending information about Promotions, newsletters with the latest news, new arrivals, new offers, special offers and sales announcements via e-mails, SMS, MMS, as well as any other available communication channels.
13.3. The User gives his consent to the use of his personal data by the Agent for transferring to third parties that are not Sellers, for marketing purposes and in order to ensure the delivery of the Goods to the User, as well as for the purpose of sending information and advertising materials to such third parties.
13.4. By accepting these Terms, the User agrees that in cases provided for by law, the Agent provides the Buyer's personal data to judicial, law enforcement or other government agencies at their request. These Terms come into force from the moment they are published on the Site.
13.5. The user can refuse the services of the Agent and delete all personal data from the database by sending a letter to the Agent's e-mail address, or by clicking on the unsubscribe link at the end of the mailing list.
13.6. In the event of any conflict, these Terms will prevail over any other terms.
13.7. The User agrees that all personal data voluntarily provided by him, which are recognized as such in accordance with the laws of Ukraine, will be processed and stored by the Agent in accordance with the Law of Ukraine "On the Protection of Personal Data".
14. The User agrees that after completing the registration procedure on the Website, the Agent will send letters and notifications to the Users' email address, including those of an advertising nature. At the same time, the Agent undertakes not to transfer the email address, as well as any other statements about the Users to third parties. The user has the right to refuse such mailing.
15. By specifying the phone number in the personal profile, the User automatically agrees to receive SMS messages of an advertising nature. If there is an intention to stop this kind of mailing, the User must fill out an application using the feedback form on the Agent's website.
16. By accepting the provisions of this Public Offer, the User gives his consent to the Agent to record a telephone conversation when contacting the Agent at the Agent's phone numbers specified in this Public Offer, solely for the purpose of improving the quality of service for Users. In this case, the Agent undertakes not to transfer the recording of the telephone conversation to third parties without the consent of the User.
17. The return of the Certificate is carried out exclusively on the grounds provided for by Art. 8, 9 of the Law of Ukraine "On Protection of Consumer Rights", taking into account that the cost of the Certificate includes the cost of the Information Service. When returning funds to the User for the Certificate, transaction losses (commissions of banks / payment systems) are retained when transferring funds, in the amount of 5% of the full value of the Certificate when returning funds to the User's balance on the Site or 7% of the full value of the Certificate when returning funds to the User's bank card ...
The User, provided that the Certificate is not used, within fourteen days from the date of its purchase, or in other cases stipulated by the current legislation of Ukraine, has the right to demand termination of the Agreement and replacement of the Certificate with another or a refund from the Agent, except for the cost of the Information Service, unless otherwise provided in the terms of the Public Offer for the relevant Share. Refunds for unused Certificates in International Tourism Promotions are carried out on the basis of an agreement with a tour operator, which is concluded directly between the User and the tour operator.
Refunds can be made to the User's balance on the website http://superdeal.ua on the basis of an e-mail sent through the feedback form on the Site or to the User's bank card on the basis of a written Application with the provision of copies of the relevant documents (copies of the Certificate, passport and certificate on assignment of TIN). The application can be downloaded from this link "Application for return". A written application must be sent to the mailing address of the Agent: 04050, Kiev, st. Glubochitskaya, 32-A, office 141, as well as attach copies of the Certificate, passport and certificate of TIN assignment. The application must contain the following mandatory details, in accordance with the requirements of payment systems:
- name of the recipient
- Recipient identification code
-- Bank's name
-- Card number
- Current account (in accordance with the IBAN standard)
- Purpose of payment (replenishment of the card number and name of the card holder) These data are provided by the bank, only by personal request directly to the card holder. Without their indication, the Agent will not be able to transfer funds to a particular bank card, even if he knows the card number.
If the User refuses to provide the original Application for the return of funds, the Agent will not physically be able to make a return. In this case, only a refund is possible to the User's balance in his personal account on the Site.
The procedure for returning tickets for events:
In accordance with the Order of the Ministry of Culture and Arts of Ukraine dated 07.07.1999 No. 452 "On Approval of the Instructions for the Management of Ticketing Facilities in Theater and Entertainment Enterprises and Cultural and Educational Institutions" the right to return pre-purchased tickets. Refunds to visitors (spectators, listeners) are carried out by the organizers of the event with the presentation of an identity document (passport, military card, student card, driver's license, service card). Based on the foregoing, the return of purchased tickets is possible only in case of cancellation, postponement or change of the event, and the return of tickets after the event is not possible.
18. The refund of the cost of the Information Service is carried out exclusively on the grounds provided for in Art. 10 of the Law of Ukraine "On Protection of Consumer Rights". To return the cost of the Information service, the User sends SUPERDILED confirmation of the Seller in any form that the Seller refused to transfer the Goods to the User on Special Conditions.
19. The User agrees that if the Certificate was used (activated), or the Coupon was provided to the Seller, then the Seller shall be liable for failure to provide and / or improper provision of the relevant Product, or the sale of the Product of inadequate quality, shall be borne by the Seller, and all claims against including claims for a refund are sent directly to the Seller.
20. The Agent reserves the right to accrue bonuses (additional incentives for purchases made on the Site and / or if other conditions are met) to the User, with the help of which the User can purchase Certificates / Information Services specified by the Agent or use bonuses in special offers of the Agent. The user can use the accrued bonuses within 90 calendar days from the date of accrual, if they are not used for the specified period, the bonuses are canceled. The agent reserves the right to change the procedure for calculating and canceling bonuses.
21. Neither Party shall be liable to the other Party for failure to fulfill obligations arising from force majeure circumstances that have arisen against the will and wishes of the Parties and which cannot be foreseen or avoided, including war, strike, epidemic, flood, fire, earthquake, or other phenomena nature, actions and acts of state bodies. In the event of such force majeure circumstances, the deadlines for the fulfillment of the corresponding obligations are extended for the entire period of such force majeure circumstances. If force majeure circumstances continue for more than three months in a row after the final date of the fulfillment of such an obligation, then the User has the right to refuse to accept the obligations of the Agent / or Seller under the Agreement or a separate Appendix to it, notifying the Agent and agreeing with him on all controversial issues.
22. The Agent has the right to amend the terms of the Public Offer without prior notice. Such changes take effect from the moment they are posted on the Site.
